1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Maxed Labs Ltd trading as Athenic ("Athenic", "we", "us", or "our"), concerning your access to and use of the Athenic platform and services.

By accessing or using our services, you agree that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with all of these Terms, you are expressly prohibited from using the service and must discontinue use immediately.

2. Service Description

Athenic provides an AI-powered business intelligence and automation platform that enables users to delegate complex business workflows to intelligent AI agents. The service includes but is not limited to:

• AI agent orchestration and task automation
• Research and analysis capabilities
• Knowledge management and retrieval
• Integration with third-party services and platforms
• Strategic planning and workflow management

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where possible.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

The service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Athenic and its licensors. The service is protected by copyright, trademark, and other laws.

You retain ownership of any content you submit to the service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute that content solely for the purpose of providing and improving the service.

6. User Data and AI Processing

Our AI agents process data you provide to deliver our services. By using our service, you acknowledge and agree that:

• You have the right to share any data you provide to the service
• AI-generated content may not always be accurate and should be reviewed before use
• You are responsible for verifying the accuracy of AI-generated outputs

7. Third-Party Integrations

You are responsible for maintaining the confidentiality of any credentials or API keys used to connect third-party services to Athenic.

To the maximum extent permitted by law, Athenic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the service
• Any conduct or content of any third party on the service
• Any content obtained from the service
• Unauthorized access, use, or alteration of your transmissions or content

11. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis. Athenic makes no warranties, expressed or implied, regarding the service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

12. Indemnification

You agree to defend, indemnify, and hold harmless Athenic and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use and access of the service
• Your violation of any term of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any claim that your use of the service caused damage to a third party

13. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
